    Open to Observers Session

    1. Welcome and Declarations of Conflicts – Ted Hardie

    Mr. Hardie called the ISOC Foundation Board of Trustees meeting to order in Open to Observers Session at 16:47 UTC on Wednesday, 14 May 2025, and welcomed participants.

    No conflicts were declared.

    2. Approve Matching Funding for 2024 IETF Endowment Contributions – Ted Hardie

    Resolution F2025-X: Approve Matching Funding for 2024 IETF Endowment Contributions

    WHEREAS, Internet Society (ISOC) has, since its creation, supported the Internet Engineering Task Force (IETF);

    WHEREAS, the ISOC Board approved an amendment to the Funding Agreement to IETF in January 2024, and

    WHEREAS, in accordance with the amended Funding Agreement, the ISOC Foundation wishes to provide Matching Funds in the amount of $1,235,314 to IETF LLC for IETF Endowment;

    RESOLVED, that the Board of Trustees authorizes Matching Funds to be disbursed to the IETF LLC in the amount of $1,235,314 for the IETF Endowment before June 4th, 2025, funded out of the Foundation’s IETF Board Fund; and

    FURTHER RESOLVED, the Board of Trustees authorizes an increase of the Foundation’s IETF Board Fund for a total of $1,235,314 to cover the Matching Funds.

    The resolution was unanimously approved.

    3. Any Other Business – Ted Hardie

    No other business was raised.

    4. Adjournment – Ted Hardie

    With no other business, Mr. Hardie adjourned the meeting at 16:49 UTC.
